The attack on the Perseas happened early Wednesday in the port of Onne, in the restive oil-rich Niger Delta region, the police said.
Two Egyptian seamen wounded by gunfire in the assault were taken to hospital in Onne and their lives were not in danger, the statement added.
The armed gang seized the ship`s Ukrainian captain and Greek chief engineer, it said.
The Saint Vincent-flagged Perseas is managed by Trinto Maritime SA, based outside Athens.
It was the second such incident in the region in less than a week. Early Friday kidnappers abducted an Egyptian oil worker near the Bonny oil export terminal after seizing control of a supply ship for several hours, the Nigerian military said.
The Niger Delta region has been hit by scores of attacks and kidnappings in recent years, both by militants claiming to be fighting for a fairer distribution of oil revenue and criminal gangs seeking ransom payments.
An amnesty in 2009 greatly reduced unrest in the region, but incidents continue to occur. (*)
