Jakarta (ANTARA News) - Bank Mandiri shareholders have agreed to the state lenders plan to acquire an 80 percent stake in PT Asuransi Jiwa InHealth from PT Askes, which will now become the healthcare sectors Social Security Provider (BPJS).

On Thursday, Bank Mandiri President Director Budi Gunadi Sadikin expressed optimism that the corporate action will lead to a positive synergy among the state firms to make InHealth a key player in the health insurance industry.

"We are optimistic that the acquisition will encourage InHealth to strengthen its businesses by receiving distribution network and customer base support from Bank Mandiri, Jasindo, and Kimia Farma through comprehensive health services," he noted.

The acquisition approval is a follow-up to the Conditional Share Purchase Agreement (CSPA) signed by Bank Mandiri, pharmaceutical company Kimia Farma, insurance firm Jasindo, state health insurance company PT Askes, and Bhakti Cooperative on December 23, last year.

Under the CSPA, the acquisition will be carried out in two stages. In the first stage, Bank Mandiri will acquire a 60 percent stake and Kimia Farma and Jasindo a 10 percent stake each in InHealth from PT Askes. In the second stage, Bank Mandiri will buy the remaining 20 percent stake in InHealth from PT Askes by the end of this year at the latest.

Budi emphasized that the total spending in the healthcare sector, including health insurance in the country, will increase by a range of 20-25 percent per year, while the labor force will increase between 800 thousand and one million per year.

InHealth is the countrys leading health insurance company, which adopts a managed care scheme.

As of December 2013, InHealth has 49 service offices across Indonesia and more than four thousand health service providers, including hospitals and dispensaries.
